1. Operational franchise and independence
Kingwood operates through an operational franchise system. Each local entity has its own legal personality and is independently responsible for the business it contracts and its own acts. Use of the brand, membership of the network or cooperation between offices does not, by itself, establish joint liability, a guarantee or assumption of obligations by global operations or other local franchises, subject to liability imposed by law.
2. Autonomy of the Brazilian operation
Oaktree BR Recuperação de Ativos S.A., identified on this website as the Brazilian entity, has full operational autonomy in conducting its local business. Where a transaction is jointly structured with other offices, each entity’s participation, decision-making powers and responsibilities must be specified in the relevant agreements, subject to applicable law.
3. Local responsibility and joint transactions
Each entity is separately responsible for its civil and financial obligations according to its contracts, conduct and applicable law. Criminal liability is attributed to individuals and, where legally applicable, legal entities, according to their conduct and statutory requirements. In joint transactions, liability follows actual participation, the executed agreements and the law; this notice does not exclude joint liability, guarantees or other liability imposed by mandatory law.
4. Controlling shareholders, management and legal services
Controlling shareholders and management are responsible within the limits and circumstances established by the corporate laws applicable to joint-stock companies and other relevant rules, including for their own acts where applicable. Reserved legal services, when involved, must be provided by duly qualified professionals or authorized law firms, subject to professional rules and their respective responsibilities. This notice does not make a joint-stock company a law firm or restrict mandatory legal rights or liabilities.
